Following the private agreement established on December 22, 2000 between the company DEGRIF SRL, VAT No. BE0473.561.225, whose registered office is located at rue Simonis 49 in 1050 Brussels-Belgium and the company INTERCONNECTION SA, VAT No. BE0473.561.522, whose registered office is located at rue du Prévôt 106 in 1050 Brussels-Belgium, the following is agreed:

INTERCONNECTION SA, as part of its central purchasing activities, agrees to deposit various footwear, leather goods and other items on consignment with DEGRIF SRL.

DEGRIF SRL undertakes to offer these items for retail sale in the course of its business activities.

All items consigned by INTERCONNECTION SA to DEGRIF SRL remain the exclusive property of INTERCONNECTION SA until they are sold by DEGRIF SRL.

Items sold by DEGRIF SRL are invoiced to the end customer by the latter. Items purchased by INTERCONNECTION SA and sold by DEGRIF SRL are subject to monthly invoicing between the two companies, as stated in the private agreement drawn up on December 22, 2000 between the parties.
